marchFIRST terminated its health care plan on April 30, 2001, and, as a result, continuation of these coverage’s under COBRA were terminated on this date. A HIPPA certificate was mailed to your home address, which you should have received by May 7, 2001. This certificate provides evidence of your marchFIRST healthcare coverage. Unpaid health care claims must be submitted as a claim to the Bankruptcy Court or to the claims agent before October 11, 2001, to enable the claimant to receive any distribution that may become available. The Flexible Spending and TransIT Plans were also terminated on April 30, 2001. This includes Health Care Accounts, Dependent Care Accounts, and Transportation Accounts. You should submit such claims to the Bankruptcy Court or to the Trustee’s claims and noticing agent before October 11, 2001, to preserve your rights to any distribution for such claims.

marchFIRST 401K

5/29/03- JP Morgan has issued taxable distribution checks to ALL REMAINING participants with an account balance in the plan. The checks were mailed to the address JP Morgan had on file. If you had an account balance and you do not receive your check by 6/9/03, please contact JP Morgan immediately to stop payment & re-issue to the correct address.
Reasonable efforts will be made to ensure you receive these funds. Over time, however, it may become increasingly difficult to gain access to the funds if your check has not been cashed and you cannot be located. Please be sure you've received these funds, as applicable, and deposit swiftly. CONTACT JP MORGAN DIRECTLY WITH ANY QUESTIONS at 1-800-345-2345.

01/29/03 – By now you should have received the information from JP Morgan to initiate distribution of your account. If not, please contact JP Morgan immediately at 1-800-345-2345. YOU MUST REQUEST DISTRIBUTION NO LATER THAN MARCH 15, 2003. If you do not request distribution of your account by this date, JP Morgan will issue you a taxable distribution and a check will be mailed to your address on record.

12/23/02 - A favorable IRS determination Letter has been received on the Plan.
We are working with JP Morgan to mail out the necessary communication for you to initiate distribution of your account. We anticipate you receiving the information (at the mailing address JP Morgan has for you) in early-mid January. You should contact JP Morgan directly to update your address at 1-800-345-2345 (JPMorgan WILL NOT BE NOTIFIED OF CHANGES MADE THROUGH THE m1 office.)

Once you receive the communication from JP Morgan, you will be able to initiate distribution of your account via the internet (www.Retireonline.com)or by contacting JP Morgan (1-800-345-2345). There will be no distribution forms to complete.
You can elect to receive a taxable distribution (by check) or roll over your balance to an IRA or new employer's plan (if allowed).
KEEP IN MIND, YOU CANNOT INITIATE DISTRIBUTION OF YOUR ACCOUNT UNTIL YOU RECEIVE THE COMMUNICATION FROM JP MORGAN.
We are continuing to undertake every reasonable action to advance the completion of the Plan and distribution from the Plan to you. We appreciate your patience.

12/11/02 - The Trustee has received notice from the IRS that it has reviewed all the information submitted to it and is initially satisfied with the information provided. HOWEVER, apparently due to certain inquiries from or on behalf of plan participants, a secondary review must be conducted by the IRS. We are optimistic this review will have the same results, and hope to get the final approval within the next few weeks. Your continued patience thru the final stages of the process is appreciated.

11/19/02 - We have been notified by the IRS that they are currently reviewing the plan. We are in continuous discussions with the IRS, responding to questions and information inquiries as requested. We hope to receive a response from the IRS soon, and we will continue to post information immediately on the site once additional information is available in regards to the status of the plan.

9/01/02 - There continues to be no information (good or bad)from the IRS to date. We still do not expect a response from the IRS before November 2002 (maybe longer)

7/24/02 - There has been no information (good or bad) in response the plan from the IRS to date.

The marchFIRST 401(k) plan has been terminated. All employee contributions through the April 6, 2001 paychecks have been deposited into your 401(k) account. As a result of the plan termination, you are fully vested in both the employee and employer matching contributions in your 401(k) account. However, no 401(k) distributions will be made until the plan receives a favorable determination letter from the IRS. The determination letter essentially approves the plan termination. In addition should you choose to rollover your account balance to an IRA or new employer plan, it ensures these monies qualify for rollover and are not subject to taxes.

We anticipate it will take a minimum of 9-12 months to receive the IRS letter from the date it was requested on March 1, 2002. Your account will continue to accrue earnings (and losses) based on market performance, and you are able to transfer your monies between the various available investment funds. You will receive a packet from J.P. Morgan once distributions can be made. Please contact J.P. Morgan at 800.345.2345 or go to their website at: www.retireonline.com, to check account balances, make investment fund changes or to update your address.

MITCHELL MADISON RETIREMENT PLANS

5/29/03- ALL ACCOUNT BALANCES HAVE BEEN PAID OUT. CONTACT PNC DIRECTLY WITH ANY QUESTIONS AT 1-800-374-4631.

2/7/03 – ALL participants with a remaining account balance in the MMG Money Purchase Plan and/or 401(k) Plan as of 2/28/03 will be issued a taxable distribution to the address PNC has on file. All remaining participants are urged to submit the required distribution paperwork IMMEDIATELY. It is critical PNC has a current address on file. To verify if you still have an account balance, please call PNC directly at 1-800-374-4631. For any other questions or to update your address with PNC, please send an e-mail to marchfirst_hr@hotmail.com.

10/18/02 - The Mitchell Madison Group (MMG) Money Purchase Plan and 401(k) Plan have been terminated and account balances must be distributed to participants immediately.
ALL DISTRIBUTION FORMS MUST BE SUBMITTED BY 11/29/02.
If your account balance is less than $5,000.00 and your form is not received by this date, a check will be issued to you in the form of a taxable distribution (your balance less 20% mandatory federal income tax withholding). You will also be subject to a 10% penalty if you are under age 59.5.

W2

W-2 forms for all employees have been mailed out. Every effort is being made to send out all returned W-2’s as soon as possible. If your address has changed since your last pay stub you will need to update your address with the Estate. You can do this by sending an email to marchfirst_trustee@hotmail.com. If you have received your W-2 and feel that it is incorrect for any reason, please either e-mail the trustee mailbox or fax your concerns and a copy of your W-2 to 312-368-1080.
